Our client, a private HealthTech software company, has exclusively retained Solutus Legal Search to partner with its executives in hiring a world-class General Counsel. This executive will serve as a strategic leader, trusted thought-partner, and sage advisor to the CEO on global legal and business matters. This is a hybrid role. Company headquarters are in West Los Angeles, but our client will consider candidates who reside “West of Mississippi” and are willing to travel regularly to Southern California.
The General Counsel will lead the corporate legal function and will be responsible for the global legal affairs of the company. S/he will set the vision and leadership of the company’s global legal, regulatory, compliance and security strategy and services, and the management of risk throughout the organization. The successful candidate will ensure legal compliance and minimize risk exposure while helping the company grow and achieve its business objectives.
Working closely with the leadership team, the Board and internal business partners, the General Counsel will help build the business and future of the company as well as help address new and exciting legal issues as the company grows in business scope, revenue, profit and complexity.
Experience leading M&A, data privacy, compliance and security functions are required. Strong project management skills will be needed in this role. The General Counsel must possess strong initiative, excellent business acumen and experience, proven management and organizational skills, and a passion for our mission.

The General Counsel is Responsible For
Legal Guidance and Compliance
- Engage directly with company executives to understand company priorities and goals, trends in the business, and other issues facing its employees and business
- Advising executive, senior management and board on various matters such as legal health and privacy regulations, payments regulations, employee matters and legal advice on the company’s SAAS platform
- Managing the organization's legal matters
- Reviewing and creating agreements, such as employment, customer, and vendor agreements
- Maintaining knowledge of organization’s operations and legal documents
- Conducting legal research and managing the company's litigation strategy
- Lead company-wide regulatory compliance, security, and privacy, including international matters
- Lead all aspects of commercial contracts and technology transactions; privacy and data security matters; labor and employment and litigation matters; stock administration functions, as well as legal operations; intellectual property; real estate; mergers and acquisitions, joint ventures and other strategic partnerships and investments
- Provide legal advice with new product development and market expansion both domestically and internationally
- Ensure the availability and quality of proficient, timely legal services, processes, and systems across the company—including selection and retention of outside counsel
- Develop creative, well-reasoned and analyzed solutions satisfying both business and legal interests
- Actively participate in the leadership team, providing counsel as appropriate

The Ideal Candidate:
- Strong academic credentials and J.D. from a nationally recognized law school
- Current member in good standing of a state bar
- 12+ years of experience leading the legal function and team as GC or DGC at a publicly traded technology company, focused on HealthTech, SAAS and fintech
- Experience leading the privacy, compliance and security functions
- Proficient legal experience in M&A, technology, and Compliance (e.g. health and privacy compliance)
- Exercise outstanding judgment, legal reasoning, risk assessment, and business insight
- Experience as leader of a legal professional team, with proven ability to build and grow and develop legal talent
- Ability to provide effective advice in the context of business objectives and to execute in a fast-moving culture
- High EQ assessments by your previous leadership teams
- Ability to calibrate risk to support innovation while appropriately protecting the company
- Skilled to optimally represent the company externally with regulators, business partners, and service providers
- Have partnered with all levels and cross-functional partners, from executives and Board members to engineers, security and privacy professionals
- Strong communication and social skills, and team orientation
- A bias towards action and the ability to work well in a fast-paced and constantly changing environment
- Very strong project management and process skills, managing multiple projects at the same time
Compensation is targeted at a base and bonus total of $490,000 + a compelling stock package. The final compensation offer will be determined based on several factors, including a candidate’s qualifications, years of directly relevant experience, and geographic location.
